Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and [LEGAL ENTITY] (“GridStock,” “we,” “us”) governing your access to and use of the GridStock platform and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.

GridStock provides QR-driven inventory and material-movement tracking with AI-assisted inventory intelligence for contractors. Access is provided on a subscription or private commercial basis as agreed with each customer. We may improve, change, or discontinue features over time.

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. Organizations control which members may join (including via a company join code) and each member’s role and permissions. You must be at least 18 and use the Service for business purposes.

You agree not to:

• access data belonging to another organization, or attempt to bypass access controls or row-level security;
• probe, scan, or test the vulnerability of the Service except under a written authorization;
• reverse engineer, resell, or build a competing product from the Service;
• upload unlawful content or use the Service to violate any law or third-party right;
• interfere with the integrity or performance of the Service, or exceed documented rate limits;
• misuse AI features to generate unlawful content or to attempt to extract other customers’ data.

As between the parties, you and your organization own the data you submit (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and secure the Service. We do not sell Customer Data and do not use it to train AI models. Our handling of personal data is described in the Privacy Policy.

The Service uses AI (Anthropic’s Claude) to produce inventory suggestions, forecasts, anomaly flags, and box-label counts. These outputs are advisory and may be inaccurate. They require human review and confirmation before you act on them; GridStock is not liable for decisions made in reliance on AI output. AI never moves stock or changes records on its own — a person always confirms.

Access is provided under the commercial terms agreed with your organization. Fees, if any, are due as set out in your order or agreement and are non-refundable except as required by law or expressly stated. We may change fees on renewal with notice.

Each party may receive confidential information of the other and will protect it with reasonable care and use it only to perform under these Terms.

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months before the event giving rise to the claim (or [USD 100] if no fees were paid).

You will defend and indemnify GridStock against third-party claims arising from your Customer Data or your use of the Service in violation of these Terms or applicable law.

These Terms apply while you use the Service. You may stop using it and delete your account at any time (Settings → Privacy & data). We may suspend or terminate access for material breach, security risk, or non-payment. On termination, your data is deleted or anonymized per the Privacy Policy’s retention section.

We may update these Terms; material changes will be notified to customers and the date above updated. Continued use after changes take effect constitutes acceptance.
